Nijmegen -- Nexperia BV today issues a message in view of Wingtech Technology’s recently announced annual and quarterly financial performance reports, and following numerous inquiries from individual shareholders of Wingtech Technology.

We want to stress that it is not, and never has been, our intention to harm the interests of Wingtech's shareholders. Nexperia has initiated proceedings with the Enterprise Chamber in Amsterdam in October 2025 with the sole purpose of stopping severe mismanagement by several members of the leadership team including the former, now suspended, CEO Mr. Zhang Xuezheng. Since these events, we have continuously repeated our invitation to Wingtech's leadership to engage in a constructive solution to the benefit of all parties involved but have still not received a positive answer. We refer to Wingtech’s leadership for any questions about Wingtech’s motivation to not provide that constructive response.

Over the past months, Nexperia has also been fully cooperating with Wingtech’s auditors to ensure that Wingtech was able to meet its disclosure deadlines. Nexperia’s own financial disclosure schedule has been deprioritized accordingly.

Background to events since last October and update on Nexperia’s ability to supply:

Following serious concerns regarding prior management, the Dutch Enterprise Chamber intervened in October 2025 by suspending the former CEO, placing shareholder voting rights under independent administration, and installing an interim leadership team—actions which have allowed the company to gradually restore stability and revert measures initiated by Mr. Zhang which were severely harming the long-term viability of the company.

At the same time, Nexperia continues to be confronted with the fact that management of Nexperia’s entities in China operate outside of the company’s governance and compliance structures.

To ensure continuity for customers and partners, the company has mobilized alternative supply chain solutions, maintaining uninterrupted production and delivery from its other global sites and, where necessary, rerouting supply channels to mitigate disruption and safeguard availability of essential semiconductor components. Our capacity expansion program is making significant progress. In many product areas, we are already supplying our customers reliably as usual. In other areas, where capacity is still being ramped up, we expect deliveries to gradually normalize over the course of this year.

Nexperia B.V. affirms its unwavering commitment to transparency, lawful governance, business continuity, and the reliable supply of critical semiconductors to all of our markets. We continue to actively and repeatedly seek constructive engagement with the leadership of Wingtech and our China-based entities, calling for immediate, structured dialogue to restore predictable supply flows, re-establish compliance with corporate governance frameworks, and resolve operational misalignments in the interest of customers, employees and all other stakeholders including Wingtech’s shareholders.
