Code of Conduct

At Nexperia we are committed to doing business with integrity and in compliance with all laws and regulations. Our Code of Conduct outlines our ethical standards and provides guidance on how we conduct ourselves in our daily operations. We expect all employees and partners to abide by the principles outlined in the Code of Conduct.

This document in front of you, “the Code”, has been carefully developed to outline the standards of behavior expected from NEXPERIA employees. Maintaining these standards helps us to protect ourselves and each other, as well as our business, stakeholders and customers, from harm.
When we know right from wrong, we have no excuse not to follow the ethical path, to do right.

The Code is your first point of reference in distinguishing right from wrong within NEXPERIA. Coupled with common sense and experience, it details the behavior expected from you and every NEXPERIA employee. It shows you what to do if you witness or suspect a breach of the Code, as well as highlighting the consequences for confirmed violations.

At Nexperia we take our commitment to ethical and responsible business practices very seriously.

 

Who can report?

Anyone working directly or indirectly for Nexperia or any external third party affected by activities in our value chain can use our complaint mechanism. The mechanism is also open to people not directly affected and can be used in representation of people affected.

 

What can you report?

All actual violations, potential violations, risks and suspicions can be reported concerning any topic covered in our Code. That means that complaints can be made on all human rights and environment-related issues, for example such as violations of human and labor rights, health and safety risks for workers, suspicion of bribery and improper conduct or corruption and conflict of interest, insider trading and environmental pollution.

 

Who is handling your complaint?

Depending on the nature of the case, all received complaints are handled by the Ethics Committee and/or the Human Rights Office. The Ethics Committee and the Human Rights Office consist of dedicated Nexperia managers on corporate level. All members of the Ethics Committee and Human Rights Office must follow strict confidentiality rules, assess each case neutrally and relevant members act free from instructions from company management.

 

How can you report?

To report a compliance concern, suspicion, risk or actual violation, you can send a message via the secure SpeakUp portal (https://nexperia.speakup.report/external), call the relevant phone number (see “Phone Instructions” per country below), or send an email to code.compliance@nexperia.com.

Our employees can also raise their concerns via the local Ethics Liaison Officers.

What happens with your complaint?

We take the following steps in the investigation and closing of your complaint.

 

Acknowledgement of receipt

We will acknowledge the receipt of your complaint within 7 days.

 

Investigation

  1. We will forward your complaint to the appropriate investigators within Nexperia. Depending on the topic of the complaint, the Ethics Committee or the Human Rights Office will take the lead in the independent investigation.
  2. The investigators shall give you an opportunity to be heard and can also interview others.
  3. The investigators can inspect and request any documents within Nexperia that they deem reasonably necessary to conduct the investigation and write their findings in an investigation report.
  4. We strive to close the investigation in due time. Our aim is to conclude an investigation within 6 months, or such other period as communicated to the complainant. The time for that will depend on the complexity of the investigation.

 

Updates

We do keep you up to date. You can follow the progress via our Speak Up system or we will reach out to you via the communication mechanism you have indicated to us.

You can continue to use the Speak Up system to ask us questions or request additional information.

 

Closing

After the closing of the investigation, we will inform you of the outcome. If you have any questions on the outcome, you can contact us.

 

Can I stay anonymous?

You may choose to remain anonymous, and we will treat your report with the utmost confidentiality.  Your identity and information based on which your identity can be established, either directly or indirectly, shall not be disclosed without your express permission. If disclosure of your identity is required by any legal requirement within the context of investigations by a competent authority or legal proceedings, we inform you in advance stating written reasons, except if this could jeopardise the investigation or court proceedings.

 

How do we ensure that your report is treated confidentially?

Anyone involved in reporting or investigating the suspected wrongdoing and/or information concerning a violation is subject to a duty of confidentiality. This duty of confidentiality applies to information which those concerned know to be confidential or which they should reasonably suspect to be confidential. The duty of confidentiality does not apply if disclosure is required by law.
 

Am I protected from retaliation?

You are entitled to protection from retaliation for making, in good faith, a report of a suspected violation of the Code, or participating in a related investigation. Nexperia shall not discharge, demote, suspend, threaten, harass or in any manner discriminate against you based upon any lawful actions with respect to good faith reporting of a suspected violation of the Code or participation in a related investigation. Your right to protection from retaliation does not grant immunity for any violations of the Code.

 

How much does it cost to make a complaint?

All reporting channels are made available globally free of charge by Nexperia.

If you want to make a complaint via phone, you may be charged at the local rate by your phone service provider.

 

How do we make sure the mechanism works?

Nexperia reviews the effectiveness of the whistleblowing mechanism on a yearly basis, or more often if there is an event that makes it necessary. Our whistleblowing mechanism is aligned with international standards such as the UN Guiding Principles on Business and Human Rights and local laws and regulations.
