Statement from Nexperia
May 22, 2026Nijmegen -- Nexperia has taken note of Wingtech’s announcement and understands that the relevant Court has not opened the case for trial.
It is not, and never has been, Nexperia’s intention to harm the interests of Wingtech's shareholders, nor that of our customers and partners worldwide. Nexperia initiated proceedings with the Enterprise Chamber in Amsterdam in October 2025 with the sole purpose of stopping severe mismanagement, including in relation to major personal conflict of interest of the now suspended CEO, Mr. Zhang Xuezheng.
We note that since October 2025, Nexperia has put in all efforts to restore supply continuity to the global customer base, including in China, following severe disruptions due to the actions of the management of our entities in China — not accepting wafer deliveries against arms-length conditions, reallocating stocked products, disregarding lawful global management instructions, refusing payments to other Nexperia entities, misappropriating corporate seals, establishing unauthorized bank accounts, and issuing misleading communications.
On February 11, 2026, the Dutch Enterprise Chamber ruled that there are indeed valid reasons to doubt proper management at Nexperia under the company's previous governance and given the developments since October 2025. Nexperia remains committed to fully complying with the investigation ordered by the court. Since October 2025, we have repeatedly and explicitly invited the leadership of Wingtech to engage in an open dialogue to come to a solution which benefits all parties involved, including Wingtech’s own shareholders. In this regard, the new litigation initiated by Wingtech today does not demonstrate a constructive attitude despite all our - and many of our partners’ - previous efforts. We regret that Wingtech appears not to be interested at all in reaching a solution that would be beneficial to all stakeholders, including Wingtech's shareholders, and continue to urge Wingtech to engage in an open dialogue.
