Nijmegen -- Nexperia B.V. today provides an update on its global operations, governance, and supply chain. The company remains fully committed to transparency, business continuity, and the interests of its customers, suppliers, employees, and stakeholders worldwide.

Geopolitical Developments and Supply Chain Restoration

Nexperia welcomes the recent news that Chinese authorities facilitate the resumption of exports from Nexperia’s Chinese facility and subcontractors. While this signals progress, we note that this is a relaxation of export restrictions by means of exemptions rather than a full restoration of the supply chain.

Compliance with the Dutch Government Order

Nexperia is aware of rumors and media speculation regarding the alleged lifting of the Dutch Government Order.

The company confirms that it has not received any official update from the Dutch Ministry of Economic Affairs and continues to act in full compliance with the Dutch Government Order.

Clarification on Enterprise Chamber and CEO Status

It is important to note that the Enterprise Chamber ruling, and the Dutch Government Order are two separate matters and not mutually dependent. The Enterprise Chamber is a special division of the Amsterdam Court of Appeal.

Nexperia is aware of continuing rumors and media speculation regarding the alleged reinstatement of Zhang Xuezheng (Wing) as CEO. The company reconfirms that, as stipulated in the Enterprise Chamber ruling of 7 October 2025, Zhang Xuezheng has been suspended and is no longer acting as CEO of Nexperia.

To further clarify, the Enterprise Chamber ruled that substantially all voting rights on the shares in Nexperia, indirectly held by Wingtech Technology Co. Ltd. ("Wingtech"), have been placed under management of an independent administrator appointed by the Enterprise Chamber.

Supply Chain Resilience

We want to state clearly that Nexperia hasn’t stopped the shipping of wafers altogether. We are committed to delivering wafers into the supply chain and continue to offer alternative supply chain solutions to mitigate disruption and maintain continuity of delivery as much as possible. This includes, for example, selling and shipping wafers to Nexperia customers directly.

Dedicated teams are working continuously to identify and implement viable paths forward. We are committed to maintaining these workaround solutions for as long as necessary and until a normal supply chain with a full turnkey flow can be restored. All other Nexperia sites—including those in Europe and other parts of Asia—continue to operate as normal. In parallel, we are working with the highest priority to expand capacity at our other locations, and we expect to achieve this in phases over the course of 2026.

Operational Disruptions

Nexperia’s entities in China have stopped operating within the established corporate governance framework and are ignoring the lawful instructions of Nexperia B.V.'s global management, as illustrated, amongst others, by:

  • Nexperia China’s refusal of payments for these wafers;
  • Misappropriation of Nexperia China entities' corporate seals without legitimate cause or explanation;
  • Establishing unauthorized bank accounts and directing customers to remit payments to these accounts;
  • Sending unauthorized letters with false information to customers, subcontractors, third party suppliers and employees.

Despite the above, Nexperia has notably continued the direct supply of wafers throughout the whole month of October 2025, and at a time when Chinese export restrictions already applied. In view of the amount of wafers shipped during this period, of the minimum stock that Nexperia requires its facilities to maintain as a practice of good governance, and the fact that shipments of finished products were restricted by Chinese authorities, our estimation is that Nexperia China should be in the possession of a sufficient amount of wafers and finished products available to continue operations for several months. Any claims from Nexperia China to the contrary lead to serious doubt over stock management practices by local management in China. Therefore, any failure to make shipments is fully the responsibility of Nexperia's entities in China.
